Program Terms

1. Company Information
SPLIIIT (“Spliiit”) is a simplified joint-stock company (SAS) incorporated under French law, registered with the Troyes Trade and Companies Register under number 850 505 694, with its registered office at 2 rue Gustave Eiffel, 10430 Rosières-près-Troyes, France.

2. Purpose
These Spliiit Affiliate Program Terms ( the “Terms” ) set out the rules governing the Affiliate Program made available by Spliiit to its affiliate partners (the “Affiliate(s)” ), enabling them to promote Spliiit's services and, where applicable, earn commissions for referred users.
By registering for the Affiliate Program, you acknowledge that you have read and unconditionally accepted these Terms by checking the corresponding acceptance box on the registration form.
3. Definitions
Affiliate: any individual or legal entity approved by Spliiit to participate in the Affiliate Program.
Referred user: any user who registers with Spliiit through a link, code or any other tracking mechanism assigned to the Affiliate.
Affiliate platform: the interface made available to the Affiliate to monitor performance, referred users, commissions and, where applicable, payouts.
Commission: the remuneration payable to the Affiliate, calculated in accordance with the rules defined by Spliiit.
4. Access to the Affiliate Program
Access to the Affiliate Program is subject to Spliiit's prior approval.
Spliiit reserves the right to approve or reject any application at its sole discretion and without providing reasons.
The Affiliate agrees to provide accurate, complete, and up-to-date information upon registration, including information regarding their identity, contact information, professional status (if applicable), and payment information.
Any incorrect, incomplete, or fraudulent information may result in the suspension or termination of the affiliate account.
5. How the Affiliate Program Works
Once the application has been approved, the Affiliate will receive a link, code or any other tracking tool enabling referred users to be identified.
Affiliate performance is monitored using the tracking tools implemented by Spliiit.
Commissions are calculated based on eligible referred users in accordance with the conditions established by Spliiit.
Spliiit reserves the right to amend the commission calculation rules at any time, provided that Affiliates are informed by any appropriate means.
6. Commission Eligibility
The Affiliate may earn a commission when a Referred User completes an eligible action on Spliiit, as defined by Spliiit, such as creating an account, purchasing a first subscription, completing a confirmed payment or any other action specified on the Affiliate Platform.
The following, in particular, do not give rise to a commission:
- fraudulent or fictitious registrations;
- duplicate entries for existing users;
- users already known to Spliiit before clicking the Affiliate link or registering through it;
- payments that have been canceled, refunded, disputed, or declined;
- actions generated by unauthorized means;
- conversions that cannot be properly attributed to the Affiliate.
Spliiit has sole discretion in determining whether a conversion qualifies for a commission.
7. Commissions and Payments
For each Referred User who activates a shared subscription through Spliiit's services for the first time, Spliiit shall pay the Affiliate a fixed commission. The applicable amount is displayed on the Affiliate Platform.
A commission becomes payable only after Spliiit has successfully received the Referred User's payment.
The commissions earned by the Affiliate are displayed on the Affiliate Platform.
Commissions may be suspended or cancelled in the event of fraud, a breach of these Terms, tracking errors, disputes with users, cancelled payments or any conduct that may adversely affect Spliiit's interests.
Any bank charges, taxes, social contributions or other obligations relating to the receipt of commissions shall be borne exclusively by the Affiliate.
8. Affiliate Obligations
The Affiliate agrees to promote Spliiit honestly, transparently and in compliance with all applicable laws and regulations.
As such, the Affiliate shall, in particular, refrain from:
- publish false, misleading or defamatory statements about Spliiit;
- create the impression of acting on behalf of Spliiit without prior authorisation;
- use the Spliiit trademark in paid advertising campaigns without Spliiit's prior written consent;
- purchase keywords incorporating the Spliiit trademark or confusingly similar variations without authorisation;
- engage in spamming, aggressive solicitation, or non-compliant prospecting;
- artificially generate sign-ups or conversions;
- use bots, scripts, fake accounts, or any other automated process;
- redirect traffic from content that is illegal, misleading, violent, hateful, discriminatory, pornographic, or harmful to third parties;
- promote Spliiit on media or platforms likely to damage its image or reputation;
- modify, conceal or tamper with the tracking links provided by Spliiit without authorisation.
The Affiliate also agrees to comply with applicable rules regarding advertising, commercial influence, consumer protection, and personal data.
9. Advertising Transparency
Where the Affiliate promotes Spliiit through sponsored content, affiliate content or any other paid publication, the Affiliate must clearly disclose the existence of a commercial relationship or affiliate link in accordance with applicable laws and regulations.
Such disclosure must be clear, visible and immediately understandable to users.
10. Intellectual Property
Spliiit retains all rights, title and interest in and to its trademarks, logos, domain names, content, visual assets, interfaces, texts, graphics, technical tools and, more generally, all intellectual property rights relating to its services.
The Affiliate is granted a limited, non-exclusive, non-transferable and revocable licence to use the materials provided by Spliiit solely for the authorised promotion of the Affiliate Program.
Any unauthorised use of the Spliiit trademark or any of its distinctive signs may result in the immediate termination of the Affiliate account.
11. Personal data
As part of the Affiliate Program, Spliiit may process certain personal data relating to the Affiliate and Referred Users.
Such processing is carried out in accordance with Spliiit's Privacy Policy and all applicable data protection laws.
Where the Affiliate independently collects or processes personal data in connection with promotional activities, the Affiliate agrees to comply with all applicable legal obligations, particularly those relating to transparency, consent, marketing communications and data security.
12. Tracking and Attribution
Conversion tracking is based on the tracking tools implemented by Spliiit.
The Affiliate acknowledges that certain conversions may not be correctly attributed due to deleted cookies, technical limitations, refusal of consent, ad blockers, device changes, technical failures or any other circumstances beyond Spliiit's control.
The information displayed on the Affiliate Platform shall be deemed authoritative unless a manifest error is identified.
Spliiit reserves the right to correct any calculation, tracking or attribution error at any time, including after a commission has been displayed on the Affiliate Platform.
13. Suspension or Termination
Spliiit may suspend or terminate the Affiliate's participation in the Affiliate Program, without compensation and with immediate effect, in any of the following circumstances:
- failure to comply with these Terms of Use;
- fraud or a serious suspicion of fraud;
- conduct likely to harm Spliiit's image, reputation or interests;
- abnormal or artificial activity;
- failure to comply with rules regarding communication, advertising, or data protection;
- prolonged inactivity;
- termination or modification of the affiliate program.
Where the Affiliate Program is terminated due to a breach by the Affiliate, Spliiit may cancel all or part of any commissions that have not yet been paid.
The Affiliate may also request the closure of their Affiliate account at any time.
14. Program Changes
Spliiit reserves the right to modify, suspend or discontinue all or part of the Affiliate Program at any time.
Affiliates will be informed of any such changes by any appropriate means at least fifteen (15) days before they take effect.
Such changes may relate in particular to:
- access requirements;
- authorized promotional materials;
- the allocation rules;
- commission rates or amounts;
- payment thresholds;
- validation deadlines;
- the eligibility requirements for conversions.
Commissions that have already been approved remain payable, unless there is fraud, a clear error, or a breach by the Affiliate.
15. Liability
Spliiit provides the Affiliate Platform on a best efforts basis.
Spliiit shall not be liable for any loss of revenue, loss of profits, loss of business opportunities, conversion attribution errors, service interruptions, technical failures or any indirect damages suffered by the Affiliate.
The Affiliate remains solely responsible for the content they publish, the media they use and the promotional methods they implement.
16. Confidentiality
The Affiliate agrees to keep strictly confidential all non-public information obtained in connection with their participation in the Affiliate Program, including, without limitation, commercial, technical, strategic or financial information, as well as information relating to the Program's performance.
This confidentiality obligation shall survive the termination of the Affiliate's participation in the Affiliate Program for a period of three (3) years.
17. Independent Relationship
The Affiliate acts as an independent contractor.
Nothing in these Terms shall be construed as creating an employment relationship, agency relationship, partnership, franchise, commercial agency or any other relationship of subordination between Spliiit and the Affiliate.
The Affiliate is not authorised to enter into commitments or incur obligations on behalf of Spliiit.
18. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of France.
Any dispute relating to the validity, interpretation, performance or termination of these Terms shall first be subject to an attempt at amicable settlement between the parties.
If no amicable settlement can be reached, the dispute shall be submitted to the competent courts in accordance with the applicable rules of law.
